End User License Agreement (EULA)

1. General

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Simarlo for the Simarlo Atlassian Marketplace applications ("Software"). By installing or using the Software, you agree to be bound by the terms of this EULA.

2. Grant of License

Subject to the terms of this EULA and your payment of applicable fees via the Atlassian Marketplace, Simarlo grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software in connection with your authorized Atlassian Jira Cloud instance(s), in accordance with the Atlassian Marketplace terms.

This license is:

  • Limited to the number of users and sites covered by your subscription (if applicable)
  • Subject to compliance with Atlassian's Marketplace Terms of Use
  • Valid only while your subscription remains active (for paid plans) or while the Software remains installed (for free plans)

3. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Software
  • Copy, modify, distribute, sell, or lease any part of the Software
  • Rent, lease, or lend the Software to any third party
  • Transfer your rights under this EULA
  • Remove any proprietary notices or labels on the Software
  • Use the Software to violate any applicable law or regulation

4. Intellectual Property

The Software, including all code, design, documentation, and content, is the intellectual property of Simarlo and is protected by applicable copyright and intellectual property laws. This EULA does not grant you any ownership rights in the Software. All rights not expressly granted are reserved by Simarlo.

5. Support and Maintenance

Support is provided in accordance with the terms published on our Atlassian Marketplace listing. We reserve the right to modify or discontinue support for older versions of the Software.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: the Software will be uninterrupted, error-free, or secure; the results obtained will be accurate or reliable; or the Software will be compatible with all Jira configurations or third-party apps.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIMARLO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

Our total liability for all claims arising out of or relating to this EULA or the Software shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

8. Termination

This EULA is effective until terminated. It will terminate automatically if you:

  • Uninstall the Software from all Jira Cloud instances
  • Fail to comply with any term of this EULA
  • Cancel your Atlassian Marketplace subscription (for paid plans)

Upon termination, all data stored by the Software (including credentials and job history) is automatically deleted by the Atlassian Forge platform.

9. Governing Law

This EULA shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from this EULA shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or in the courts of competent jurisdiction.

10. Changes to This EULA

We may update this EULA from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Software after changes constitutes acceptance of the revised terms.
